Chapter
One
General Principles
1. The Online
China Data Service adopts Membership System. The
members referred to by this agreement are
universities and colleges, research
institutions, companies, and other
organizations, or individuals, who apply for the
membership and accept this agreement.
2. The
provider of the Online China Data Service - All
China Marketing Research Co., Ltd. and the
University of
Michigan (UM)
China
Data
Center
are
responsible for the qualification confirmation
of institutional or individual users applying
for the membership.
Chapter
Two
Applying for Membership and Management of
Members
3. About the
membership application:
(1) The
institutions or individuals applying for the
membership can directly apply to the University
of Michigan China Data Center.
(2) The
institution or individual applying for the
membership becomes a member (institutional or
individual) of the Online China Data Service
after the application is approved and has paid
the subscription fee;
(3) If there
is a change to the member information, the
member (or the contact person of an
institutional member) should contact the UM
China
Data
Center
and
update the member information.
4. Payment of
Fee:
(1) Members
should send their subscription fees to the UM
China
Data Center at the
following address:

(2) The
subscription fee is non-refundable unless the
China
Data
Center
does not provide the services
outlined in this subscription
service.
Chapter Three
Rights and Obligations of Members
5. Rights of
Members
(1) Have the
right to use all the information and functions
specified by the Online China Data Service in
the agreement;
(2) Have the
right to use consulting services specified by
the Online China Data Service and provided by UM
China
Data
Center
and
All China Marketing Research Co., Ltd.
6.
Obligations of Members
(1) Observe
the agreement of the Online China Data Service,
and engage in the information services complying
with the
U.S.
copyright
law;
(2) Accept the
supervision and management by the Online China
Data Service to members' usage. All
user-specific data will be kept confidential.
Aggregated usage data may be released to the
subscribing institutions upon
request.
(3) Pay all
the fees according to the stipulations of the
Online China Data Service.
Chapter
Four
Password Management
7. Members
can not change their password for their account
on the Online China Data Service website at
http://chinadataonline.org/.
8. The
individual users need to use the password for
online data access. If the member provide the
password to the third party without permission
from UM
China
Data
Center, resulting in
the loss of the Online China Data Service, the
UM
China
Data
Center
has
the right to find out its duty and require the
compensation for the loss. The access by users
of institutional members is controlled by the IP
addresses provided by the institution, which
should be restricted to the IP range owned or
used by the institution.
9. If the
member find the password let out or possibly let
out, he or she should inform the UM China Data
Center and avoid the unnecessary risk.
Chapter
Five
Cancellation of Membership
10. The UM
China
Data
Center
have the right to terminate a
membership if the member does the
followings:
(1) Don't
observe the agreement;
(2) Don't pay
the subscription fee for the Online China Data
Service in time when expiring.
(3) Provide
the password to the third party without the
permission from UM China Data Center .
Chapter
Six
Related Responsibility
11. For the
loss and claim for compensation due to the
following causes, The Online China Data Service
doesn't assume the corresponding duties:
(1) The duty about
the correctness, veracity and validity related
to the member information;กกกก
(2) Data-destroying
or other aftereffect duties resulted from the
net system accidents;กก
(3) The
results brought about by other act of God.
12. The data
provided by the Online China Data Service serve
only as the reference, not as any legal
documents. For the commercial activities by
members according to the data, the Online China
Data Service is not responsible for any legal
liability.
13. Unless
there are any other promises or agreements
signed with members, the data from the Online
China Data Service can only be used by the
member, and the member should not re-distribute
the data obtained from the Online China Data
Service to any third party.
14. The
agreement only can be explained by the sponsor
of the Online China Data Service - All China
Marketing Research Co., Ltd. and UM
China
Data
Center
. If there is any
dispute, the two parties should settle it
through negotiation.

Seven
Supplementary
Articles
15. The
standards about information service contents,
rules and member fee of the Online China Data
Service can be found on the China Data Online
web site.
16. The
rights of modification and explanation to this
agreement only belong to All China Marketing
Research Co. , Ltd and the UM China Data Center.
17. The
unlisted related content by this agreement is
supplemented and modified by All China Marketing
Research Co., Ltd. and the UM China Data Center,
except according to the relative rules made by
the Online China Data Service.
